Zolesco Solutions' standard commercial, delivery, technology, security, AI, HealthTech and agency-delivery boundaries for website and software engagements.

Agreement hierarchy and project confirmation

A project is confirmed when Zolesco Solutions and the client have an approved written scope, quotation or statement of work and the required initial payment has been received. Project-specific written terms take priority over general website or marketing descriptions for the same subject.

  • Verbal discussions, informal chats and preliminary estimates do not expand the approved scope unless confirmed in writing.
  • Quoted pricing is normally valid for 14 calendar days unless the quotation states another period.
  • Requirements, integrations, data volumes, deadlines and third-party costs may change a quotation before approval.

Standard payment schedule

Unless a project-specific proposal states otherwise, the standard payment structure is 40% advance, 30% at the agreed development milestone and 30% after final staging approval and before complete production handover.

  • 40% advance before scheduling and development begin.
  • 30% when the agreed core development milestone is completed and presented for review.
  • 30% after final staging acceptance and before source-code transfer, complete credential handover and final production deployment.
  • Taxes, withholding, bank charges, payment-processor fees and currency-conversion costs are separate unless expressly included.

Scope, milestones and client responsibilities

Delivery follows the approved deliverables, user roles, workflows, integrations, screens, data requirements and acceptance criteria. Anything outside that agreed scope is handled as additional scope or a written change request.

  • Clients should provide required content, assets, credentials, data and approvals on time.
  • One authorized representative or clearly identified decision process should control scope decisions and consolidated feedback.
  • Major design changes after design approval may require a revised quotation and timeline.
  • If no material issue is raised within the agreed review period, a milestone may be treated as provisionally accepted for scheduling and invoicing purposes.

Revisions, warranty, support and inactivity

Unless a proposal states otherwise, applicable design, content-placement and milestone-review work includes up to three consolidated in-scope revision rounds. A revision refines an approved requirement; it does not add a new page, role, workflow, integration or feature.

  • A 30-day defect-correction window applies after final production handover for reproducible bugs in the original delivered scope unless otherwise agreed.
  • Maintenance covers only the tasks expressly included in the purchased plan and is not unlimited development time.
  • After 30 consecutive days without required client input, a project may be placed on hold and the original schedule may no longer apply.
  • After 60 days of inactivity, the project may be administratively closed after reasonable written notice.

Hosting, infrastructure and third-party services

Domains, hosting, cloud infrastructure, payment gateways, SaaS tools, APIs, email, SMS, analytics and other external services may carry separate charges, terms and operational limits. Zolesco can implement and integrate these services but does not control third-party approvals, outages, pricing or policy changes.

  • Performance targets are contractual only when written as acceptance criteria.
  • Migration, legacy-data reconstruction and managed backups are separately scoped unless expressly included.
  • E-commerce clients remain responsible for products, pricing, inventory, taxes, shipping, refund rules, chargebacks and legal sales obligations.
  • SEO, analytics and marketing implementation do not guarantee rankings, traffic, leads or sales.

AI, RAG, automation and HealthTech

Where a client project includes AI, RAG, knowledge assistants, agents or automated workflows, the approved use case, knowledge sources, permitted actions, data boundaries and escalation rules should be documented in the project scope. Probabilistic AI output cannot be guaranteed to be 100% accurate.

  • Consequential use cases should include appropriate human oversight, validation and escalation.
  • HealthTech work is administrative, informational or workflow-supporting by default and does not include autonomous diagnosis, treatment, prescription or emergency decision-making unless a separately regulated scope expressly provides otherwise.
  • HIPAA, GDPR, medical-device, financial or other regulatory compliance is not implied by technical implementation alone.
  • Clients must have the rights and lawful basis for documents, datasets and other material supplied for retrieval, embeddings, evaluation or model training.
  • AI providers, vector databases, model APIs, speech services and related infrastructure may create separate recurring usage costs.

Intellectual property, confidentiality and agency protection

After full payment, the client receives the custom source code and agreed handover materials created specifically for the project, subject to third-party licences, pre-existing Zolesco intellectual property and the project-specific agreement.

  • Zolesco retains its pre-existing frameworks, templates, reusable utilities, generic modules, internal methods and know-how.
  • Confidential business information, credentials and non-public project materials are protected with reasonable professional measures.
  • Completed non-confidential work may be shown in Zolesco's portfolio unless confidentiality or white-label restrictions are agreed before publication.
  • For protected agency and white-label work, client-contact, non-solicitation and public-attribution boundaries should be documented in writing; Zolesco will not claim a protected partner end client as its own public client.

Security, liability and general terms

Zolesco follows professional development and security practices appropriate to the agreed scope, but no website, software, cloud service or AI system can be guaranteed completely secure or continuously available.

  • Clients remain responsible for protecting their domain, hosting, admin, cloud, payment and third-party accounts after handover.
  • To the maximum extent permitted by applicable law and unless a signed agreement states otherwise, Zolesco's aggregate liability for a project is limited to the amount actually paid to Zolesco for the affected project, excluding pass-through third-party charges.
  • Zolesco may refuse or terminate work involving unlawful activity, fraud, credential theft, malware, unauthorized surveillance, harmful automation or material security risk.
  • Project-specific signed terms, mandatory law and written addenda take priority where they directly conflict with these standard policies.
